End User License Agreement

Intrepid Portal

This End User License Agreement (“Agreement”) is between Intrepid Telecom, Inc. (“Intrepid”, “we”, “us”) and the individual or entity accessing the Intrepid Portal (“you”). By accessing or using the Intrepid Portal, you agree to this Agreement. If you do not agree, do not access the Intrepid Portal.

1. License

Intrepid grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Intrepid Portal solely for the internal business purposes for which access was granted to you. The Intrepid Portal is licensed, not sold, and Intrepid retains all right, title, and interest in it.

Access is granted to named individuals. You are responsible for maintaining the confidentiality of your credentials and for all activity occurring under your account. You must notify Intrepid promptly of any suspected unauthorized use.

4. Third-Party Services

The Intrepid Portal integrates with third-party services, including Intuit QuickBooks Online. Your use of those services is governed by their own terms. Intrepid is not responsible for the availability, accuracy, or conduct of any third-party service, and connecting such a service is your authorization for the Intrepid Portal to exchange data with it on your behalf.

5. Data

Data you enter into or generate through the Intrepid Portal remains yours. Intrepid processes it to provide and support the service, as described in our Privacy Policy, which is incorporated into this Agreement by reference. Intrepid applies commercially reasonable administrative, technical, and physical safeguards, but no method of transmission or storage is completely secure.

6. Availability and Support

The Intrepid Portal is provided on an as-available basis. Intrepid may modify, suspend, or discontinue any part of it, and may perform maintenance that temporarily interrupts access. Unless a separate written agreement states otherwise, no specific uptime, response time, or support level is guaranteed.

7. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE INTREPID PORTAL IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. INTREPID DOES NOT WARRANT THAT THE INTREPID PORTAL WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY DATA, CALCULATION, OR REPORT IT PRODUCES WILL BE ACCURATE OR COMPLETE. YOU ARE RESPONSIBLE FOR INDEPENDENTLY VERIFYING ANY OUTPUT USED FOR ACCOUNTING, TAX, REGULATORY, OR BILLING PURPOSES.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTREPID WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE INTREPID PORTAL, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. INTREPID’S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO INTREPID FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS PRECEDING THE EVENT.

9. Term and Termination

This Agreement applies for as long as you have access to the Intrepid Portal. Intrepid may suspend or terminate access at any time, with or without notice, including for breach of this Agreement. Sections 3, 5, 7, 8, and 10 survive termination.

10. Governing Law

This Agreement is governed by the laws of the State of Texas, without regard to its conflict of law provisions. The exclusive venue for any dispute is the state or federal courts located in Texas.

11. Changes

Intrepid may update this Agreement. Material changes will be reflected in the “Last updated” date above. Continued use after an update constitutes acceptance.
